A Thousand Inns, its affiliates, officers, directors, members, agents and employees will have no liability, by reason of negligence or otherwise, for any failure of A Thousand Inns or the A Thousand Inns Web site to be accessible, available, or online at any time or during any period of time, or for any failure of the A Thousand Inns Web site to properly receive, record or process any messages, e-mails, orders or purchase transactions at any time or during any period of time. SPECIFICALLY, A THOUSAND INNS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE NUMBER OF PERSONS THAT WILL VISIT THE A THOUSAND INNS WEB SITE OR THE LEVEL OF RESERVATIONS THAT WILL BE MADE BY ANY SUCH PERSONS, AND A THOUSAND INNS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES RELATING TO THE ACCESSIBILITY OR AVAILABILITY OF THE A THOUSAND INNS WEB SITE, THE QUALITY OR AVAILABILITY OF PRODUCTS OR SERVICES PROMOTED OR ADVERTISED ON THE A THOUSAND INNS WEB SITE, THE CONDUCT OR TRANSACTION OF BUSINESS ON OR FROM THE A THOUSAND INNS WEB SITE, OR THE AMOUNT OF BUSINESS SALES THAT MAY OR COULD BE RECEIVED BY PARTICIPATING AS A THOUSAND INNS SPONSOR OR ADVERTISER. FURTHER, A THOUSAND INNS EXPRESSLY DISCLAIMS ANY SUCH WARRANTIES OR REPRESENTATIONS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AS TO THE A THOUSAND INNS WEB SITE OR THE SERVICES OR PRODUCTS ADVERTISED OR PROMOTED ON THE A THOUSAND INNS WEB SITE. A THOUSAND INNS WILL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES.

A Thousand Inns will remain the sole and exclusive owner of all rights to, and ownership of, all graphics, artwork, copy, logos, layout design and other such content (the "Intellectual Property") authored, created or licensed by A Thousand Inns, in connection with the design, development and operation of the A Thousand Inns Web site. With respect to any Intellectual Property owned by A Thousand Inns or licensed by A Thousand Inns from any third parties, this Agreement will not grant or transfer any right to use such Intellectual Property, or to grant, license or sublicense others to use such Intellectual Property, except as specifically permitted by A Thousand Inns. Advertisers and sponsors will remain the sole and exclusive owner of all rights to, and ownership of, all Intellectual Property authored or created by them, and A Thousand Inns will not use, or grant, license or sublicense others to use, such Intellectual Property, except as specifically permitted in these terms and conditions or by separate agreement.

Prices for services or products offered at A Thousand Inns are completely within the control and discretion of advertisers and sponsors and may be changed at any time. If A Thousand Inns offers any services or products directly, A Thousand Inns may change, delete or update product information and prices on our Web site when appropriate. A Thousand Inns cannot guarantee availability of any advertised or offered service for sale, or the shipment, or delivery of any product advertised or offered.

A Thousand Inns trade names, trademarks, logos and images (the "A Thousand Inns Proprietary Materials") belong exclusively to A Thousand Inns. A Thousand Inns advertisers and sponsors are not permitted to use the name "A Thousand Inns" or any A Thousand Inns Proprietary Materials, or any copies or confusingly similar names, marks, logos or images, or any other materials provided by A Thousand Inns, unless prior written approval has been received from A Thousand Inns.

A Thousand Inns mission is to promote Inns and B&B accommodations, and related services and products. A Thousand Inns desires that all advertisers and sponsors conduct themselves with honesty and integrity. It is also A Thousand Inn's intention to form business relationships with other companies and individuals who provide products or services in connection with accommodations, and who will maintain these same standards of honesty and integrity. We expect that all A Thousand Inns advertisers and sponsors will conduct themselves in accordance with these standards, and act truthfully and fairly, in providing services and products in all communications with customers, and other A Thousand Inns advertisers and sponsors. We also expect A Thousand Inns advertisers and sponsors to observe all copyright laws and other laws intended to protect the rights of third parties in their intellectual property.

A Thousand Inns advertiser or sponsor is not an agent, employee, sales representative, joint venture or franchisee of A Thousand Inns and, accordingly, is not authorized to make any promise, agreement, or contract on A Thousand Inns behalf. A Thousand Inns advertisers and sponsors are solely and fully responsible for verbal and written statements and actions made regarding the services and products provided to customers and for any statements made in any advertising and promotional materials.

All A Thousand Inns advertisers or sponsors are solely responsible for their own equipment and materials, including maintaining all telephone, computer hardware and software, and other equipment or software needed for access to and use of any link from 1000inns.com to such advertisers' or sponsors' web sites.

Failure of A Thousand Inns to exercise any rights stated in these terms and conditions or in any separate A Thousand Inns agreement, shall not constitute a waiver of A Thousand Inns right to exercise any such rights in the future or demand exact compliance therewith. Waiver by A Thousand Inns of any breach of any provision of these terms and conditions or any such separate agreement will not constitute a waiver of any prior, concurrent, or subsequent breach of these terms and conditions or any such agreement.

A Thousand Inns will have the right at any time to change or discontinue any aspect or feature of the A Thousand Inns Web site, including, but not limited to, product offerings, equipment needed to access 1000inns.com, or these terms and conditions. Upon notification by publication or posting on the 1000inns.com Web site, any and all such changes or amendments are immediately incorporated as part of these terms and conditions, unless a later date is stipulated as the effective date in such posting.

A Thousand Inns reserves the right to immediately terminate its agreement with any A Thousand Inns advertiser or sponsor, at any time, if the A Thousand Inns advertiser or sponsor violates or is in breach of any of the terms and conditions of any separate agreement with A Thousand Inns, these terms and conditions, the provisions of any applicable laws, or A Thousand Inn's standards of truthfulness and fair dealing, or the advertiser or sponsor engages in any conduct that subjects A Thousand Inns to any notoriety, or that damages or is intended to harm the reputation of A Thousand Inns or other A Thousand Inns advertisers or sponsors. Upon termination or cancellation you are not permitted to link your Web site to 1000inns.com and you may not represent yourself to be A Thousand Inns advertiser or sponsor in any web posting, advertising, marketing materials, promotional materials or other form or means of communication.

If any user, advertiser or sponsor violates these terms and conditions, A Thousand Inns reserves the right to do any one or more of the following:

To deny access to offenders of these terms and conditions, and to take any other action that may be permitted or appropriate under applicable law. To cancel and remove any advertiser or sponsor listing or advertisement in the event that A Thousand Inns receives any complaint regarding such advertiser or sponsor, such advertiser or sponsor does not pay on a timely basis any charges or fees for such listing or advertisement, or A Thousand Inns determines that such advertiser or sponsor is providing services or products not consistent with the policies and programs of A Thousand Inns as same may be adopted or changed from time to time. To terminate any agreement between A Thousand Inns and such user, advertiser or sponsor and to terminate the right of such advertiser or sponsor to be listed or advertised on A Thousand Inn 's Web site.
